Board of Governors
The Board of Governors is the Bank’s supreme authority , comprising
representatives of all Member State signatories of the Establishment Agreement.
Each Member State appoints a Governor (commonly, the State’s Ministry of Finance) and an Alternate Governor to act as its representative on the Board of Governors.
All of the Bank’s powers are vested in the Board of Governors, including but not limited to:
- Capital increase of the Bank
- Appointment of the Bank President and determining her/his salary and benefits
- Appointment of auditors for the Bank and determining their remunerations
- Approval of the Bank’s final accounts, following submission of reports from the Board of Directors and the auditor
- Allocation of the Bank’s net income
- Interpretation and amendment of the articles of the Establishment Agreement
- Suspension of any member to the Board of Governors
- Determination and modification of the annual remuneration of the Chairman and Members of the Board of Directors
- Deciding whether to suspend the Bank’s operations and to wind up and distribute its assets.
